Constitution of the University of West Georgia Chapter of the American Association of University Professors
Article I — Name
The name of this organization shall be the University of West Georgia chapter of the American Association of University Professors. It is a member chapter of both the National Association and the Georgia Conference-AAUP.
Article II — Purposes
The purposes of this organization shall be: to represent the professional interests and to promote the welfare of all members of the faculty; to advance and defend the standards, ideals, and policies of the American Association of University Professors; to promote the well-being of the University of West Georgia, the University System of Georgia, and higher education generally; and, if requested to do so, to serve as an advisory, mediative, or investigative agency if and when these functions are in the service of the preceding purposes.
Article III — Membership
- ACTIVE MEMBERSHIP
An active member is any individual, as defined in the membership eligibility statement of the National Association, who has paid the appropriate dues for a given year. Membership shall date from the payment of dues. Only active members are eligible to hold office in the chapter and to vote in decisions and elections of the chapter.
- ASSOCIATE MEMBERSHIP
An associate member is any individual who has paid the appropriate dues but who does not qualify for active membership as defined in the eligibility statement of the National Association. Membership shall date from the payment of dues. Associate members may attend meetings at the invitation of the active members of the chapter but may not vote.
Article IV — Officers
- The chapter shall elect a president, vice-president, secretary, treasurer, and four members-at-large of the Executive Committee, in accordance with the electoral procedures specified in Article IX.
- The officers specified in section A, the immediate past president of the chapter, any members of the local chapter who are officers or members of committees of the National organization or the Georgia Conference-AAUP, and chairpersons of chapter committees, shall constitute the Executive Committee of the chapter.
Article V — Duties of Chapter Officers
- The President
The President shall have the duties usually associated with this office and preside over all meetings of the chapter and the Executive Committee. The president shall be the official representative of the chapter, and may delegate this authority only to another member of the Executive Committee. The President shall be an ex-officio member of all chapter committees except the nominating committee, and shall have the authority to appoint and disband all committees except the Executive Committee and the nominating committee, subject to the approval of a majority of the Executive Committee. The President shall report regularly to the membership on chapter activities. The President shall serve for one year and whatever time might remain of the preceding President’s term. The President shall not be eligible for consecutive re-election to this office.
- The Vice-President
In the absence of the President, the Vice-President shall preside at chapter and Executive Committee meetings. The Vice-President shall assist the President in the duties of the presidency and shall succeed to the Presidency at the end of the one year term as Vice-President or whenever the office of President becomes vacant.
- The Secretary
The Secretary shall keep minutes of chapter and Executive Committee meetings, maintain the official records of the chapter (except for financial records), and handle the preparation and circulation of notices to the chapter membership.
The Secretary shall serve for one year and be eligible for re-election.
- The Treasurer
The Treasurer shall be responsible for the collection and safekeeping of all chapter monies and for the maintenance of the financial records of the chapter. With the prior approval of the President, the Treasurer shall have the authority to disburse chapter funds in discharge of valid financial obligations of the chapter in amounts not exceeding $50.00. Disbursement of amounts over $50.00 must have the prior approval of the Executive Committee. The Treasurer shall maintain the membership rolls of the chapter and make a financial report to each regular chapter meeting.
The Treasurer shall serve for one year and be eligible for re-election.
- Members-At-Large of the Executive Committee
The four members-at-large of the Executive Committee shall assist the other officers in the performance of their duties and shall perform such other duties as may be assigned them by the President.
Members-At-Large of the Executive Committee shall serve for one year and be eligible for re-election.
Article VI — Removal of Officers
- Initiation of Removal Procedures
An action to remove any elected officer of the chapter may be initiated by the presentation of a petition bearing the signatures of twenty percent of the active members of the chapter at any meeting of the chapter. Such a petition shall specify the names of any officers whose removal is proposed and present a statement of the grounds upon which removal is proposed.
- Notice to Membership of Proposed Removal
Within two weeks of the initiation of a removal procedure, written notice shall be sent to all active members specifying that a chapter meeting will take place within one week and stating the purpose for which the meeting is being called. The agenda for the meeting shall be the proposed removal, and the written notice of the meeting will include the names of all officers whose removal has been proposed, the names of the active members who initiated the procedure, and a statement of the grounds upon which removal is proposed.
- Removal Procedures
At the meeting called to consider the proposed removal, ample time shall be allowed for discussion and rebuttal of the grounds alleged for removal after which a vote shall be taken on the proposed removal. Voting shall be conducted by secret ballot, and each individual whose removal has been petitioned shall be voted upon separately. These procedures shall be conducted by an active member of the chapter not holding office in the chapter and not one of those who initiated the procedure, who shall be elected by majority vote at this meeting. Removal of any officers named in the petition shall require the vote of a simple majority of the active membership.
A successful removal procedure shall have effect from the time of the balloting which supports the said removal. If any officers have been removed, a special election meeting to fill vacant officers will occur within one week. If all of the officers have been removed, the active member who conducted the removal meeting shall conduct the special election meeting. If any of the officers remain, they shall choose one among themselves to conduct the special election meeting.
Article VII — Duties of the Executive Committee
- The Executive Committee shall be empowered to act for the chapter in service of the purposes of the chapter, to advise and consult with the President in all matters of importance to the chapter, and to convene special meetings of the chapter at its discretion. The Executive Committee shall meet at the discretion of the President or whenever a majority of the members of the Executive Committee deem it necessary.
- The Executive Committee shall constitute a body to which all faculty members of the college shall have access and shall be empowered to treat in confidence allegations of violations of standards of academic freedom, academic due process, tenure, and all other appropriate matters brought to its attention. Such matters shall remain in confidence among the membership of the Executive Committee unless bringing the matter in question before the general membership or any other public disclosure is approved by the faculty member or faculty members concerned.
- At the beginning of each academic year, the Executive Committee shall set the amount of local dues to be levied during that year.
Article VIII — Meetings of the Chapter
- There shall be at least one regular meeting of the membership of the chapter during each semester of the academic year, excluding the summer semester.
- Upon written petition of at least ten percent of the active members of the chapter, the Executive Committee shall call special meetings of the chapter. Such meetings shall be scheduled within two weeks from the receipt of such petitions by the Executive Committee.
- The Secretary shall send each member written notice of each chapter meeting at least five days in advance of the scheduled meeting.
- A Quorum for chapter meetings shall be ten percent of the active membership.
- The procedure for conducting meetings shall be in accordance with the current edition of Robert’s Rules of Order, except that the provisions of the chapter Constitution shall take precedence over Robert’s Rules of Orderwith respect to any matter when the two are in conflict. If the President deems it necessary, a parliamentarian may be appointed to preside over chapter meetings.
Article IX — Election Procedures
- The annual election shall be held during the Spring Semester chapter meeting no later than May 5 of each year. Offices falling vacant on the last day of Spring Semester of each academic year shall be filled at this time. Notice of the election shall be included in the notice of the meeting.
- In advance of the annual election meeting, a nominating committee of five active members shall be appointed by the Executive Committee for the purpose of preparing a slate of candidates for all of the offices which shall fall vacant on the last day of Spring Semester. The nominating committee shall include at least one past president of the chapter and at least one member of the present Executive Committee. The nominating committee shall elect its own chairperson who shall place the names of each of the candidates from the prepared slate in nomination at the appropriate time. Other nominations may be made from the floor by any active member of the chapter.
- A simple majority of the active membership present and voting shall be required for election. In the event that no candidate for an office receives a majority on a given ballot, the name of the candidate receiving the lowest number of votes shall be stricken, and balloting shall continue until one candidate receives a majority.
- Except for the special rules, which obtain after a successful removal of a chapter officer (See Article VI), when a vacancy in any office occurs between annual elections, a special election shall be held to fill the vacancy unless the vacancy is in the office of the President. If the office of President becomes vacant, the Vice-President shall succeed to the office for the remainder of the unexpired term, without losing eligibility for the presidency for the subsequent presidential term. Special elections to fill vacant offices shall be held at the next regular chapter meeting after the vacancy occurs or at a special meeting called for that purpose by the Executive Committee.
Article X — Amendments
- Amendments to this Constitution shall be initiated by a petition signed by at least ten active members of the chapter. A copy of the petition containing the proposed amendment shall be presented to the President.
- Upon receipt of the petition containing the proposed amendment the President shall see that the proposed amendment is distributed in writing to the active members of the chapter at least ten days in advance of the chapter meeting at which the proposed amendment is to be considered. Proposed amendments must be voted on by the chapter within sixty days of receipt of the petition by the President.
- This Constitution shall be amended if two-thirds of those voting approve, provided that at least fifty percent of the active members are present and voting at the time of the balloting.
- All amendments shall take effect upon adoption unless otherwise provided for in the amendment.
Article XI — Continuity of Officers
Officers serving at the time of the adoption of this document shall serve until the end of Spring Quarter, 1979.
